Governance Strengthened in the Face of Potential Conflicts of Interest
In line with best market practices, the Board of Directors has set up an ad hoc committee composed of three independent administrators: Gilbert Saada (Chairman), Nathalie Dechy, and Victoria Wescott. This structure was established due to potential conflicts of interest that may arise given the involvement of President-CEO Michele Kang in the administration process of Eagle Bidco. The Committee will be responsible for overseeing the administration process on behalf of the Company and recommending the appointment of an independent expert if necessary.
Sharing of Confidential Information and Evolution of Control
The Company has entered into confidentiality agreements with Eagle Bidco to organize the administration process and identify a potential acquirer for Eagle Bidco’s assets, including EFG securities. A similar nature commitment has been made with a consortium consisting of Ares Capital funds and an affiliate of Michele Kang. Additional similar confidentiality agreements may be reached with interested third parties in the coming weeks. The administration process of Eagle Bidco may result in a change in control of the Company, followed by a mandatory public offering for its securities. The ad hoc committee will be tasked with providing a recommendation to the Board of Directors on the advisability of a possible public offering for the Company, its shareholders, and employees.
